Leges Advokat advises most of the foreign banks and international financial institutions on the full range of banking, project financing and investment matters in Uzbekistan. We have advised clients on many major and strategic projects that involved a multiparty financing transactions ranging from several hundred million dollars to multibillion-dollar widely syndicated credit facilities.
We represent lead arrangers, agents and lenders in structuring, documenting and closing a variety of complex loan transactions. We also have a strong practice representing borrowers in all types of commercial loans and other financial transactions. Our experience and understanding of market standards and the expectations and concerns of various types of lenders with regard to a variety of financing transactions contribute to our ability to assist our clients effectively and efficiently.
Transactions in which we participate include asset-based and/or cash-flow secured and unsecured credit facilities, acquisition financings, first and second lien and single-tranche credit facilities. We have vast experience with complex credit transactions in Uzbekistan, including multicurrency and cross-border lending arrangements. Our lawyers also regularly work on matters involving inter-creditor agreements, subordinated debt financings, letters of credit and debt restructurings. Our experience in financing covers a broad variety of industries, including energy, natural resources, pharmaceutical, food, telecom, transportation and technology.
Projects
Uz-Kor Gas Chemical
The Leges Advokat team acted as a local consultant of the project company "Uz-Kor Gas Chemical'' LLC. We advised a group of lenders on a Surgil project for the construction of a gas chemical complex in Ustyurt. This investment project with the cost of four billion US dollars. Our services included creation of the project documents, review of the facility agreements, creation and perfection of the security documents, consultations on the customs issues.
Anglesey Food
Our team had the pleasure of assisting the European Bank for Reconstruction and Development with equity financing for Anglesey Group, the force behind the popular Korzinka.uz brand in Uzbekistan. Throughout this exciting project, the Leges Advokat team conducted thorough legal due diligence and skillfully handled all the necessary paperwork for the equity investment in Anglesey Group. We bring precision and expertise to make sure these financial endeavors run smoothly.
China Development Bank
Leges Advokat provided legal services to China Development Bank as a local counsel in several financing transactions involving state-owned enterprises in Uzbekistan, such as National Bank for Foreign Economic Activities of the Republic of Uzbekistan, Asaka Bank, Uzpromstroybank, JSC “Uzbekneftegaz”, JSC “Uzbektelecom”. The total value of the financing transactions exceeded one billion US dollars and one of the recent deals involved the financing of the acquisition of 300 electric buses and 800 LPG buses.
